TERMS AND CONDITIONS Effective Date: 24 June 2023 These terms and conditions ("Agreement") govern the use of the services provided by Campus des devs Inc. ("Company"). By accessing or using the services, you agree to be bound by this Agreement. Service Description 1.1 The Company provides consulting and IT services to clients. User Obligations 2.1 You agree to use the services in accordance with all applicable laws and regulations. 2.2 You shall not engage in any activities that may disrupt or interfere with the services or violate the rights of others. Age Requirement 3.1 The services are intended for individuals who are 18 years of age or older. By using the services, you represent and warrant that you are 18 years of age or older. Disclaimers 4.1 The Company makes no warranties or representations regarding the services, and the services are provided on an "as is" basis. 4.2 The Company shall not be liable for any damages arising out of or in connection with the use of the services. Limitation of Liability 5.1 The Company's liability for any direct, indirect, incidental, consequential, or special damages is limited to the maximum extent permitted by law. 5.2 Users agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from any claims or liabilities arising out of or in connection with the use of the services. Compliance with Laws 6.1 The Company complies with all applicable laws and regulations, including the Consumer Protection Act and the Personal Information Protection Act (PIPA). Modification of Terms Campus des devs Inc. reserves the right to update, modify, or change these terms and conditions at any time without prior notice. Users are responsible for reviewing the terms and conditions periodically. Continued use of our services after any modifications to the terms and conditions shall constitute acceptance of the updated terms. Termination 8.1 The Company reserves the right to terminate or suspend a user's access to the services at any time and for any reason, without prior notice. 8.2 Users may terminate their access to the services by ceasing to use the services and notifying the Company in writing. 8.3 Upon termination, all rights and licenses granted to the user under these terms and conditions will immediately cease, and the user must discontinue all use of the services. Dispute Resolution 9.1 Attempted Resolution: In the event of any dispute, controversy, or claim arising out of or relating to these terms and conditions, Campus des devs Inc. is committed to attempting to resolve the matter through good-faith negotiations and discussions. 9.2 Jurisdiction and Venue: If the parties are unable to resolve the dispute through direct negotiations, any unresolved dispute shall be subject to the exclusive jurisdiction of the courts in Quebec, Canada. Both parties consent to the personal jurisdiction of such courts and waive any objections or defenses related to venue. Trademarks and Intellectual Property 10.1 All trademarks, service marks, and trade names used in connection with the services provided by Campus des devs Inc., including but not limited to the name "Campus des devs Inc.," are the property of their respective owners. 10.2 Google Play and the Google Play logo are trademarks of Google LLC. 10.3 You agree not to use any trademarks, service marks, trade names, or logos in any manner without the prior written consent of the respective owners. Governing Law These terms and conditions shall be governed by and construed in accordance with the laws of the province of Quebec, Canada, without regard to its conflict of laws principles. Entire Agreement These terms and conditions constitute the entire agreement between the user and Campus des devs Inc., superseding any prior agreements, understandings, or representations. Severability If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions shall continue to be binding and enforceable to the fullest extent permitted by law. Agreement Acceptance By clicking the "I Agree" button, checking the box, or otherwise indicating acceptance of these terms and conditions, the user acknowledges that they have read, understood, and expressly agreed to be bound by all the terms and conditions set forth herein. Non-Assignment Users may not assign or transfer their rights or obligations under these terms and conditions without prior written consent from Campus des devs Inc. Survival Certain provisions of these terms and conditions, including provisions related to intellectual property rights, disclaimer of liability, and confidentiality, shall survive termination or expiration of the agreement.
